Receiving Agent and other Corporate Actions
We act as Receiving, Paying and Escrow Agents in a wide variety of diverse corporate actions, such as Rights Issues, Takeovers & Mergers, Schemes of Arrangement, Corporate Reorganisations, Tender Offers and Liquidation Payments.

We work with clients and their advisors to ensure that all the technical aspects of the corporate action comply with relevant rules, regulatory constraints and meet required deadlines. We provide a full receiving agent service to help manage risks and ensure total confidentiality in all aspects of our work.
We will:
- Assist with creation of the documentation to be issued to shareholders.
- Process returned forms of acceptance to include acceptances via CREST holders.
- Calculate the individual entitlement.
- Calculate and arrange for payment of Stamp Duty and SDRT.
- Distribute cash and/or shares as required under terms of the offer.
- We also handle a variety of Corporate Actions in the context of Employee Share Incentive Plans and other regulated activities.
