Charles Cryer - Chief Executive Officer

Charles joined Capita Registrars in 2002 as Finance Director. After three years in this role he moved to become Divisional Finance Director of Capita's Financial Services Division where he was responsible for all aspects of financial management and acquisitions within The Capita Group's largest profit centre. He was appointed Chief Executive of Capita Registrars in May 2007.

Previously he worked as a Corporate Financier for ING Financial Markets and as a Corporate Broker for Charterhouse Securities where he specialised in fund raising and M&A for small and mid-cap companies. In these roles he regularly worked with the share registration industry in managing IPOs, Rights Issues and Placings for his clients.

He qualified as a Chartered Accountant in 1997 with Coopers & Lybrand (now part of PricewaterhouseCoopers) where he worked in Corporate Recovery & Insolvency. Charles holds an honours degree in Geography from The University of Reading.

As Client Services Director, Graham is responsible for client relations and overall business development for Capita Registrars.

Having spent 26 years with Lloyds Registrars, Graham joined Northern Registrars in January 2001. Following the acquisition of Northern Registrars by Capita in 2003, Graham was appointed Deputy Divisional Sales Director. During his time with Lloyds, Graham gained a comprehensive knowledge of all aspects of share registration holding a number of senior positions.

As Chief Operating Officer, Justin has overall responsibility for all shareholder operations - including Registration, Share Plans, Custody & Settlement, Share Dealing and our Offshore Registration. Justin also looks after our Investor Relations and Company Secretarial Services businesses.

Justin joined Capita Group in 2000 and has over 20 years experience in the share registration and share plan business environments. His career started at Lloyds TSB Registrars (now Equiniti), where he spent a total of ten years, before moving to ProShare, the UK organisation that promotes wider share ownership, followed by myshares (now part of Capita).

He is an FSA Approved Person and a Director of Capita Registrars, Capita IRG Trustees Limited and various other associated Boards. In November 2008, Justin gained Chartered Director status within the Institute of Directors and has recently been inducted as a Fellow of the same organisation.

Howard Montagu joined Capita Registrars in 2005 and was promoted to Finance Director in September 2006. Prior to that he held various senior financial positions with IKON Office Solutions Plc (Outsourcing and Document solutions), Williams Lea Ltd (Facilities Management) and American Express.

He qualified as a Chartered Accountant in 1995 with Coopers & Lybrand (now part of PwC) where he worked in Audit.

Mark joined Capita in May 2008, having previously worked for HSBC for 20 years. For the last 10 years he was head of the Commercial Banking Centre in Jersey where he concentrated on risk management, deal structuring and business growth.

Mark is professionally qualified through the Chartered Institute of Bankers. He has responsibility for all registration business covering Jersey, Guernsey and Isle of Man offices.

Michael Kempe joined Capita Registrars as Deputy Operations Director in January 2007 after having spent 11 years with the Euroclear Group. Michael joined the Capita Registrars' Board in July 2007 as Operations Director responsible for industry issues as well as all operations relating to registration, corporate actions, investor relations and corporate reconciliations.

Michael's current role as CDO incorporates responsibility for all product development, projects and industry issues as well as operational responsibility for corporate actions and corporate reconciliations.

At Euroclear, Michael was responsible for creating a harmonised corporate actions platform for the Euroclear group. In addition to meeting this challenge in the Belgian, Dutch, French, Irish and UK markets, Michael was Chairman of the European Central Securities Depositories Association's Working Group 5 and was also co-Chairman of the ISO 15022 Global Market Practices Group defining global market practice in relation to ISO 15022 and corporate actions.

Michael was previously head of Issuer and Investor Services at CRESTCo, the settlement system for UK and Irish securities, which became part of Euroclear in 2002. He was responsible for the development of CRESTCo products and services relating to corporate actions and custody, including dematerialised rights issues, takeover acceptances and electronic proxy voting.

Pat has 29 years experience in all aspects of Share Registration and Corporate Actions. Previously Pat worked in Bank of Ireland’s Registration and Securities Department in 1981, subsequently being appointed Service and Relationship Manager in 1998. He then moved to Computershare in 2000 as Senior Relationship Manager, and joined Capita in 2001. Pat is a graduate of Dublin City University and a member of the Institute of Bankers in Ireland. Pat and his team offer Share Registration, Corporate Action and Share Plan Services to Irish companies.

Donald joined Capita Registrars towards the end of 2009 and has over 22 years of experience within the share registration industry, firstly, at international building materials group CRH. At CRH Donald was in-house registration manager, responsible for all aspects of shareholder services where, in 1996, he project managed the CRH changeover to the new CREST settlement system. In 1999, Donald joined Computershare where he held a number of senior positions, including Client Relationship Director. Donald joined Capita Registrars in 2009 as Deputy Managing Director and he has executive responsibility for both the Client Relationship and Operational functions within the Dublin Registry. Donald is a qualified Accounting Technician and an active participant in industry bodies.

Anthony joined the Company in 1996 and was appointed Chief Executive of Capita Trust Company (Jersey) Limited in May 2002, previously having direct responsibility for the institutional custody function.

Anthony has a strong background in Compliance, Risk and Audit acquired through previous employment with Royal & Sun Alliance and subsequently Capita. As CEO, he has the overall responsibility for the day-to-day operations of Capita’s offshore businesses.

Simon has worked in the Financial Services industry for over 30 years. The first 5 years was with a major stockbroker working in settlements after which he moved into the registration industry where he has gained considerable experience over the past 25 years.

He has worked in most areas of the business and moved into Client Services some 15 years ago as a Relationship Manager with responsibility for a number of FTSE 100 clients and the more complex overseas registers. Simon then moved into Share Plans and was heavily involved in the promotion of these schemes before moving back into Client Services as a senior manager responsible for the Relationship Management Team.

As Associate Director Simon’s main responsibility is to ensure that the Client Services team continually performs in delivering the highest level of service to our client companies.

Phil Kershaw joined Capita Registrars in 2007 and is a qualified Company Secretary who, with his extensive experience, has led various projects such as the Northern Rock EGM on behalf of Capita.

Phil was part of the secretarial team when Norweb was privatised in 1990. He helped to establish the practices and procedures to operate as a plc and managed the share register of 350,000 shareholders. Large AGMs and complex Annual Reports together with the emerging corporate governance regime added to the challenge.

In 1996 he joined J Sainsbury plc as Assistant Company Secretary where he was responsible for company secretarial work and substantial, large volume SAYE, profit sharing and executive employee share plans. He worked on the establishment of Sainsbury’s Bank and the group re-structuring to create a Sainsbury’s Supermarket Board.

Phil moved to Bradford & Bingley in 2000 (to help with the conversion of the building society to a bank in terms of setting up plc practices and procedures as well as preparing to manage a large share register) and in 2003 he became the Deputy Company Secretary. He has developed excellent networks within the secretarial/registration industry and is well regarded by his peers. His years as a client of all the major registrars sees him well placed to add value in the provision of services to Capita’s customers.
